These Terms of Service ("Terms") are a legal agreement between you and Restoration AI Solutions, LLC ("we," "us," "our," or "RAiS") governing your access to and use of the RAiS Scoping Assistant application, website, and related services (collectively, the "Service"). By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Service.
RAiS Scoping Assistant is a software tool designed to help restoration professionals create and manage scopes of work, estimates, reports, and related documentation. The Service uses artificial intelligence to generate suggestions. It is an aid only and does not replace the training, judgment, licensure, or professional expertise of a qualified restoration, construction, or insurance professional.
You represent that you are at least 18 years old and have authority to bind the entity on whose behalf you use the Service. You agree to provide accurate, current, and complete information when registering and to keep that information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
The Service is currently offered at no charge to approved invitees and early-access users. Paid subscription plans will be introduced after the Beta period. Pricing, features, and plan terms will be published when subscriptions become available, and your continued use after a paid plan takes effect will be subject to payment of the applicable fees. Refund and cancellation terms will be set forth in the then-current pricing terms posted on the Service.
You retain ownership of the data you enter, upload, or generate through the Service, including customer information, job details, photographs, notes, estimates, reports, and scope-of-work documents ("User Content"). You grant us a limited license to use, process, store, and transmit User Content solely as necessary to provide and improve the Service.
You are solely responsible for the accuracy, legality, and completeness of all User Content and any reports, estimates, scopes, plans of work, or other outputs produced through the Service. We do not verify User Content. You must ensure that your use of the Service, including the collection and storage of customer or third-party data, complies with all applicable laws, regulations, and contractual obligations.
The Service may generate suggestions, summaries, translations, or draft scope content using artificial intelligence. All AI-generated output is provided solely as a draft for your independent review, verification, and approval. It may contain errors, omissions, or inconsistencies. RAiS disclaims liability for AI-generated output regardless of whether you edit, approve, or distribute it.
You are solely responsible for reviewing, verifying, editing, and approving any AI-generated content before relying on it or delivering it to customers, insurance carriers, property owners, or other third parties. RAiS is not responsible for the accuracy, completeness, suitability, or legal sufficiency of any AI-generated output. The Service does not provide legal, insurance, engineering, construction, or professional restoration advice.
We implement reasonable administrative, technical, and physical safeguards to protect the Service and your data. However, no internet-based system is completely secure, and we cannot guarantee the security, confidentiality, or integrity of any data stored in the Service.
To the fullest extent permitted by applicable law, we are not liable for damages arising from data breaches, unauthorized access, hacking incidents, malware, data loss, corruption, or theft that are caused by factors outside our reasonable control or by third parties. Nothing in this Section excludes or limits our liability for damages caused by our gross negligence or willful misconduct.
You acknowledge that you enter, upload, transmit, and store all data at your own risk. We strongly recommend that you do not store highly sensitive information such as social security numbers, financial account numbers, insurance claim numbers, driver's license numbers, payment card data, or protected health information in the Service.

We reserve the right to suspend or terminate your access if we believe you have violated these Terms or applicable law.
RAiS owns all rights, title, and interest in and to the Service, including its software, designs, trademarks, logos, and AI models, subject to your User Content. You may not copy, modify, distribute, or create derivative works of the Service without our written consent.
If you use the Service to process customer, insurance, or other third-party data, you are responsible for obtaining any necessary consents and for complying with applicable privacy and data-protection laws. We are not responsible for your handling of third-party data.
When paid subscriptions become available, you must provide a valid payment method and pay all applicable fees as described on the pricing page. Fees are non-refundable unless otherwise stated in the then-current pricing terms. Failure to pay may result in suspension or termination of your account.
You may stop using the Service at any time. We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including violation of these Terms, non-payment, or extended inactivity. Upon termination, your User Content will be deleted from active systems; residual copies may remain in encrypted backups and audit logs for up to six (6) months and in legal holds as required by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAIS AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) U.S. $25.00. IF YOU HAVE PAID NOTHING IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OUR TOTAL LIABILITY SHALL NOT EXCEED U.S. $25.00.
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO (A) OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, (B) OUR BREACH OF CONFIDENTIALITY OBLIGATIONS, (C) OUR INDEMNIFICATION OBLIGATIONS TO YOU, OR (D) DEATH, PERSONAL INJURY, OR TANGIBLE PROPERTY DAMAGE.
You agree to defend, indemnify, and hold harmless Restoration AI Solutions, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
The Service may be unavailable from time to time for scheduled or emergency maintenance, upgrades, or repairs, and we may make changes or discontinue features without notice. WE DO NOT GUARANTEE ANY SPECIFIC UPTIME, AVAILABILITY, OR RESPONSE TIME. Neither party will be liable for failures due to causes beyond its reasonable control, including internet outages, third-party cloud or AI-provider failures, acts of God, labor disputes, or government action.
These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-laws principles.
You and RAiS agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with Illinois as the place of arbitration. Judgment on the arbitration award may be entered in any court having jurisdiction.
YOU AND RAIS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL.
If any portion of this arbitration or class-action waiver is found unenforceable, the remainder of this Section will continue to apply, and any unenforceable portion shall be severed.
We may update these Terms at any time. If we make material changes, we will notify you by email, by posting a notice within the Service, or both, before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or other business transaction.
You may not use the Service in violation of US export controls, sanctions, or embargo laws, or from any country or region subject to US embargo.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. These Terms constitute the entire agreement between you and RAiS regarding the Service and supersede any prior agreements. Our failure to enforce any right does not waive that right.
